1. Agreement to Terms
By accessing or using Synqaro's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our services.
2. Description of Services
Synqaro provides marketing automation, MarTech integration, and related consulting services ("Services"). Our Services include:
- Marketing automation system design and implementation
- Email and outreach automation
- MarTech integrations (CRM, analytics, tracking)
- Data monitoring and dashboard creation
- Advertising automation and guardrails
- Ongoing support and optimization
3. Engagement and Payments
3.1 Service Packages
We offer fixed-scope service packages with defined deliverables and timelines. Specific details are outlined in individual service agreements or statements of work.
3.2 Payment Terms
All payments are processed through Upwork's secure payment system using milestone-based payments. Payment terms include:
- Payments are released upon completion and approval of defined milestones
- All fees are in USD unless otherwise specified
- Refunds are subject to our guarantee policies and Upwork's terms
3.3 Upwork Platform
Our services are provided through the Upwork platform. You agree to comply with Upwork's Terms of Service in addition to these Terms.
4. Service Guarantees
We offer the following guarantees on our services:
- Automation Sprint: 7-day delivery or $200 off your next project
- Growth Engine: Save 2+ hours/day by week 2, or we work free for up to 2 weeks
- Scale OS: Go-live in 30 days or your next month is free
Guarantee claims must be submitted in writing within 7 days of the guaranteed timeline. Guarantees are void if delays are caused by client-side issues, including but not limited to: lack of access to required systems, delayed feedback or approvals, or scope changes.
5. Client Responsibilities
You agree to:
- Provide timely access to necessary systems, tools, and information
- Respond to requests for feedback and approvals within agreed timeframes
- Maintain active accounts with required third-party platforms
- Comply with all applicable laws and third-party terms of service
- Not use our Services for illegal or unauthorized purposes
6. Intellectual Property
6.1 Client Ownership
Upon full payment, you own all deliverables created specifically for you, including workflows, automations, and documentation.
6.2 Synqaro Property
Synqaro retains ownership of all pre-existing intellectual property, methodologies, templates, and tools used in delivering services.
6.3 Third-Party Tools
You are responsible for obtaining and maintaining licenses for all third-party platforms and tools used in your automations (e.g., HubSpot, Make, n8n, Google Analytics).
7. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without written consent, except as required by law. This obligation survives termination of services.
8. Limitation of Liability
To the maximum extent permitted by law, Synqaro shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or data
- Service interruptions caused by third-party platforms
- Issues arising from incorrect information provided by the client
Our total liability shall not exceed the amount paid by you for the specific service in question.
9. Warranties and Disclaimers
We warrant that our Services will be performed in a professional manner consistent with industry standards. However:
- Services are provided "as is" without warranties of any kind
- We do not guarantee specific business outcomes or revenue increases
- Third-party platform functionality and availability are not under our control
- Results may vary based on your business, market, and implementation
10. Termination
10.1 By Client
You may terminate services at any time. Payments for completed milestones are non-refundable. Work in progress will be billed on a pro-rata basis.
10.2 By Synqaro
We may terminate services if you breach these Terms, fail to provide required access or information, or engage in abusive behavior.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Continued use of our Services after changes constitutes acceptance of the modified Terms.
12. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation between parties
- Mediation through Upwork's dispute resolution process
- Binding arbitration if mediation is unsuccessful
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, along with any service-specific agreements, constitute the entire agreement between you and Synqaro regarding our Services.
